LLC vs JSC in Vietnam: Which Entity Should Foreign Investors Choose? (2026)

One of the first and most consequential decisions a foreign investor makes when entering Vietnam is the choice of legal structure. The two most common vehicles for foreign-owned businesses are the Limited Liability Company (LLC) and the Joint Stock Company (JSC). Picking the wrong one can mean unnecessary governance complexity — or, later, a costly re-licensing exercise. This guide breaks down the practical differences so you can choose with confidence.

The Limited Liability Company (LLC)

The LLC is the most popular structure for foreign investors entering Vietnam, especially small and medium enterprises. It comes in two forms:

  • Single-member LLC — owned by one organization or individual.
  • Multi-member LLC — owned by between 2 and 50 members.

Members enjoy limited liability up to their capital contribution. Governance is relatively simple: there is no requirement for a board of multiple shareholders or a general meeting in the way a JSC requires. This makes the LLC efficient to run for manufacturing, trading, IT, consulting, and most service businesses where the ownership group is small and stable.

The trade-off is fundraising flexibility. An LLC cannot issue shares to the public, and bringing in new investors means transferring or adding member capital — workable, but less fluid than issuing shares.

The Joint Stock Company (JSC)

The JSC is designed for larger projects or businesses that plan to raise capital or eventually list. Key features:

  • Requires a minimum of three shareholders, with no maximum (and can be 100 percent foreign-owned).
  • Can issue shares and bonds, making it the natural choice for raising equity or attracting multiple investors.
  • Has a more elaborate governance structure — a General Meeting of Shareholders, a Board of Management, and in some cases a supervisory body.

That capital-raising power comes with more administration: stricter governance formalities, shareholder reporting, and more complex decision-making. For a small foreign-invested operation, this overhead is often unnecessary.

How to choose

A practical way to decide is to answer four questions:

  1. How many investors? One or two owners point toward an LLC; three or more, especially with future investors in mind, point toward a JSC.
  2. Will you raise capital or list? If issuing shares or attracting outside equity is part of the plan, the JSC fits better.
  3. How much governance can you sustain? An LLC is leaner to operate; a JSC demands more formal structure.
  4. What does your sector require? Some conditional sectors impose foreign ownership caps or joint-venture requirements that can shape the choice regardless of preference.

For the majority of foreign-invested SMEs and service or manufacturing businesses, a 100 percent foreign-owned LLC is the recommended starting point. Companies with ambitious fundraising or multi-investor plans should weigh the JSC.

Why the structure decision matters early

The entity type is fixed into your Investment Registration Certificate (IRC) and Enterprise Registration Certificate (ERC). Converting later — for example, from LLC to JSC — is possible but involves re-registration, charter amendments, and time. Choosing correctly at the outset saves money and avoids disruption.
